What Is Hong Kong's Personal Data (Privacy) Ordinance — and Why Does It Now Apply to Your AI System?
The Personal Data (Privacy) Ordinance (PDPO), Cap. 548 of the Laws of Hong Kong, governs how organisations collect, hold, process, use, and transfer personal data. It is enforced by the Office of the Privacy Commissioner for Personal Data (PCPD). For most enterprises, PDPO compliance was historically an HR and customer records matter. AI has fundamentally changed that scope.
When an AI system analyses employee performance data to generate assessments, processes customer interaction transcripts to improve service quality, or uses client profiles to power personalised recommendations — it is processing personal data under the PDPO. Every AI deployment that touches personal data is subject to the Ordinance's six Data Protection Principles (DPPs), regardless of whether the AI is built in-house or procured from a third-party vendor.
In June 2024, the PCPD published the "Artificial Intelligence: Model Personal Data Protection Framework" — the first AI-specific data protection guidance document in the Asia-Pacific region, according to A&O Shearman's analysis of the release. What Does the PCPD's AI Model Framework Actually Require of Your Organisation?
The PCPD's Model Framework is targeted at organisations that procure, implement, and operate AI systems that process personal data. It is a guidance document — not legally binding on its own — but Mayer Brown's analysis of the framework notes that demonstrating compliance with it is the most direct evidence of PDPO adherence that the PCPD will look for. The framework groups compliance obligations into four areas:
1. AI Governance Structure
Organisations should establish an AI governance committee: a cross-functional team that takes ownership of AI oversight across procurement, implementation, and operations. This committee is responsible for setting the organisation's AI strategy, defining permitted use cases, approving AI vendors, and reviewing data protection impact assessments. According to Bird & Bird's analysis of the framework, the governance committee should include representatives from legal, compliance, IT, and relevant business units — not just the IT department.
2. Data Minimisation
Before any AI system processes personal data, the organisation must confirm that only the minimum data necessary for the defined purpose is collected and used. This addresses a common deployment risk: AI systems trained or fine-tuned on broader employee or customer datasets than their stated function requires. A customer service AI that is given access to full financial account histories when it only needs transaction summaries is a data minimisation failure under DPP 1.
3. Vendor Accountability and Contractual Obligations
When engaging a third-party AI provider, the PCPD expects clear contractual allocation of data protection responsibilities. If the provider processes personal data on behalf of your organisation, the contract must address: security obligations, data retention limits, prohibition on using your data to train the vendor's own models, and breach notification requirements. If the relationship is a joint controller arrangement — where the vendor makes independent decisions about data use — your organisation bears shared liability for the vendor's data processing decisions.
4. AI Incident Response Planning
Every AI deployment should be covered by a documented AI Incident Response Plan — a protocol for identifying, containing, and reporting incidents where AI processing has caused harm or triggered a data breach. The PCPD recommends notifying the Commissioner promptly upon discovering a breach, with best practice in the industry typically targeting 24–72 hours. This plan should be tested annually, not filed and forgotten.
Which AI Use Cases Carry the Highest PDPO Risk in a Hong Kong Enterprise?
Not all AI deployments carry equal compliance exposure. Three enterprise use cases consistently surface the highest PDPO risk in legal analyses of the Model Framework:
AI-Assisted HR and Performance Management
AI tools that score employees, predict attrition, flag performance issues, or generate assessment summaries process sensitive personal data at scale. Under DPP 1 (purpose and collection), employees must be informed of this processing. Under DPP 3 (use limitation), data collected for one HR purpose — say, attendance tracking — cannot be repurposed to feed an AI attrition model without fresh notification. Customer-Facing AI Systems
AI chatbots, virtual agents, and recommendation engines that process customer interaction data carry dual risks. First, data collected during AI-handled interactions may be retained far beyond its useful life if no deletion schedule is set — a DPP 2 violation. Second, if the AI produces inaccurate outputs based on that data (an AI credit assessment that misclassifies a customer, for example), DPP 4 (data accuracy) obligations apply and the organisation is liable for decisions made on flawed AI outputs.
AI with Cross-Border Data Processing
Many enterprise AI platforms — especially US and EU-based SaaS providers — process data on overseas infrastructure. Under PDPO Section 33, organisations must be satisfied that the receiving jurisdiction provides comparable data protection. According to the HFW data protection review, Section 33 enforcement has historically been light but is expected to tighten as the PCPD's enforcement capacity expands. Organisations that have not mapped where their AI vendor's infrastructure is physically located should treat this as an immediate gap.
How Should Your Organisation Structure AI Governance for PDPO Compliance?
A governance structure that satisfies the PCPD's Model Framework does not require building an entirely new compliance function. Most Hong Kong enterprises can adapt their existing data governance frameworks using a three-layer model:
Strategic Layer — AI Governance Committee
Sets organisational AI policy: which use cases are approved, which data categories may be processed by AI, what risk thresholds trigger a mandatory Data Protection Impact Assessment (DPIA), and which vendors are on the approved list. This committee reviews new AI deployments before procurement and annually reviews live systems. Membership: Chief Digital Officer or equivalent, General Counsel, Chief Compliance Officer, and senior representatives from the largest business units.
Operational Layer — Business Unit Data Stewards
Each department head or designated data steward is responsible for documenting the personal data their AI tools process, maintaining an inventory of AI systems in use, and conducting DPIAs for high-risk deployments. DPIAs are not optional for AI systems that make automated decisions about individuals — the PCPD's framework treats them as a core expectation for any AI that processes sensitive categories of personal data.
Vendor Layer — Procurement and Legal Teams
Procurement and legal own the AI vendor contracting process. Every AI vendor agreement must be reviewed against the PCPD's Model Framework checklist before signature. Retrospective reviews of existing contracts should be completed as a priority — many enterprise AI agreements signed before 2024 predate the framework and contain material gaps.
What Should You Check in AI Vendor Contracts?
Five specific provisions determine whether an AI vendor contract is PDPO-compliant. Enterprise legal teams should verify each before signing:
--- Data Processing Roles: Does the contract clearly define whether the vendor is a data processor (acting solely on your instructions) or a joint data controller (making independent decisions about data use)? The answer determines who bears primary compliance liability for any PDPO breach.
--- Training Data Restrictions: Does the contract explicitly prevent the vendor from using your organisation's data to train or improve their AI models? Many standard enterprise AI agreements include broad training permissions by default unless negotiated out. This is the provision most frequently missed in pre-2024 contracts.
--- Data Residency and Cross-Border Transfer: Where is personal data stored and processed? If outside Hong Kong, what is the legal basis for the cross-border transfer, and what safeguards apply?
--- Breach Notification Timeline: Is there a contractual obligation for the vendor to notify your organisation within 24–48 hours of discovering a breach involving your data? This timeline must align with your own incident response commitments to the PCPD.
--- Data Deletion on Termination: Does the contract require the vendor to certify deletion — not just return — of all personal data within a defined period after contract end? "Return" alone is insufficient if the vendor retains copies on backup infrastructure.
What Happens If Your AI Deployment Violates PDPO?
The PCPD has powers to issue enforcement notices, compel corrective action, and refer cases for criminal prosecution. Key outcomes following a PDPO enforcement action include mandatory remediation within a set period, fines and criminal prosecution for continued non-compliance, compulsory cessation of specific data processing activities, and public disclosure of enforcement actions — with the associated reputational consequences for listed companies or regulated institutions.
Historically, PDPO enforcement was relatively measured. That is changing. Legal analysts at Tanner De Witt and HFW have noted that with the publication of the AI Model Framework in 2024, the PCPD has moved from advisory to enforcement posture. Organisations that have received clear guidance but have not aligned their AI deployments should treat 2026 as the year their compliance gap becomes an enforcement liability.

The PCPD gave Hong Kong enterprises a structured runway: the June 2024 Model Framework set out what good AI governance looks like, and 2026 is the year the PCPD moves from issuing guidance to assessing whether organisations have followed it.
